MONTH-TO-MONTH WORKSPACE LICENSE AGREEMENT

1. LICENSE GRANT & TERM


This is a month-to-month license agreement (not a lease) commencing on {{start_date}}. Either party may terminate with 14 days written notice. This creates a license to use space, not a leasehold interest or residential tenancy.


2. RENT & PAYMENT


Monthly License Fee: {{plan_price}}

Due Date: 1st of each month

Payment Method: 

- Credit/debit card, ACH or wire transfer via membership platform

- OR check delivered to Landlord

Grace Period: 5 calendar days

Late Fee: 5% of monthly fee if payment received after grace period

NSF Fee: $50 per returned payment


3. SECURITY DEPOSIT


Amount: One month's license fee

Held: Without interest

Return: Within 30 days of termination, less lawful deductions for:

- Unpaid fees or charges

- Damages beyond normal wear and tear

- Cleaning costs if premises not left in acceptable condition

- Abandoned property disposal costs

Tenant may not apply deposit toward final month's payment


4. PERMITTED USE


Business Use Only: General office and business purposes as specified in the tenants plan on the Incubator Space Online Portal

Operating Name: As listed on tenants profile on the Incubator Space Rental Platform (changes require written approval)

Hours of Access: 24/7 or as otherwise posted

Prohibited: Residential use, illegal activities, nuisances, hazardous materials


5. INSURANCE (STRONGLY RECOMMENDED)


Tenant is strongly encouraged to maintain general liability insurance for their business operations. 

Landlord's insurance does NOT cover:

-Tenant's personal property or equipment

-Tenant's business liability or operations

-Injuries to tenant's clients, employees, or guests

-Damage caused by tenant's negligence

Tenant acknowledges they use the premises at their own risk and are solely responsible for insuring their property and liability exposure.


6. UTILITIES & SERVICES INCLUDED


Landlord provides: 

- Electricity

- Water

- Bathrooms/Sewer

- HVAC

- High Speed Internet

- Common Area Access

- Standard Building Maintenance

- Parking

- Coffee & Snacks (as outlined in the tenants plan on the Incubator Space Rental Platform)

- Standard Format Printing


7. PARKING


Tenant may park in any available non-reserved space on a first-come, first-served basis. Only licensed and insured vehicles permitted. Landlord may tow unauthorized, improperly parked, inoperable, or illegally parked vehicles at tenant's expense. Parking at tenant's own risk - Landlord not liable for theft or damage to vehicles.


8. ALTERATIONS & SIGNAGE


Landlord approval required before:

- Painting, wallpapering, or significant décor changes

- Installing or removing walls or fixtures

- Adding electrical, networking, or HVAC equipment

- Posting exterior signage

- Installing antennas, satellite dishes, or exterior equipment

- Bringing in large furniture or artwork

All approved alterations become property of Landlord unless otherwise agreed in writing


9. PETS & ANIMALS


No pets or animals permitted without prior written consent. Landlord may revoke consent with 30 days notice.


10. MAINTENANCE & CONDITION


Tenant Responsibilities:

- Maintain premises in clean, safe condition

- Immediately report damage or maintenance issues in person or on the Incubator Space Rental Platform

- Prevent waste, misuse, or damage

- Comply with all health, safety, and building codes

Landlord Responsibilities:

- Maintain building structure and common areas

- Provide working utilities and building systems

- Make repairs to items provided by Landlord (reasonable wear excepted)


11. RULES & CONDUCT


Tenant must:

- Comply with all posted building rules and policies

- Not disturb other tenants or create nuisances

- Not engage in illegal activities

- Respect quiet hours and common area etiquette

- Follow all parking regulations


12. ACCESS & INSPECTION


Landlord may enter premises with reasonable notice (24 hours) for inspections, repairs, or showings. Emergency entry permitted without notice.


13. ABANDONMENT & DEFAULT


Abandonment Defined: Premises deemed abandoned if:

- Rent unpaid for 15 days AND

- Tenant non-responsive to written notice AND

- Premises appear vacant

Upon Abandonment or Default:

- Landlord may immediately re-enter and secure premises

- Any personal property left is deemed abandoned after 15 days

- Landlord may dispose of abandoned property without liability

- Tenant remains liable for all fees through re-rental or term end

- Landlord may relet as agent for tenant and apply proceeds to tenant's obligation


14. HOLDOVER


If tenant remains after termination without written consent, tenant becomes a holdover and must pay 200% of the monthly license fee (prorated daily) as liquidated damages, plus all other lease obligations apply.


15. ASSIGNMENT & SUBLETTING


Tenant may NOT assign, sublet, or allow others to use the premises without prior written consent. Any unauthorized transfer is void and grounds for immediate termination.


16. ATTORNEY FEES & COSTS


If Landlord must enforce this agreement or collect unpaid amounts, tenant will pay all costs including attorney fees, court costs, and collection expenses on a full indemnity basis. All unpaid amounts will accrue interest at 12% annually (or maximum rate permitted by law, whichever is less) from the due date until paid in full.


17. LIABILITY & INDEMNIFICATION


Tenant's Risk: Tenant uses premises at own risk. Landlord not liable for theft, damage to tenant's property, or injuries unless caused by Landlord's gross negligence.

Indemnification: Tenant indemnifies and holds Landlord harmless from all claims, damages, losses, and expenses arising from tenant's use of premises or breach of this agreement.


18. SURRENDER


Upon termination, tenant must:

- Remove all personal property

- Return premises/workspace in clean condition (normal wear excepted)

- Hot Desk Members: Remove all items daily; no storage permitted

Dedicated Desk Members: Clear desk and remove all personal items from assigned space

Private Office Members: Remove all furnishings, decorations, and equipment; return office to original condition

- Return all keys and access devices

- Pay all outstanding amounts


19. DEFAULT & REMEDIES


Default occurs upon:

- Non-payment after grace period

- Breach of any agreement term

- Abandonment

- Bankruptcy or insolvency

- Loss of required insurance

Landlord's Remedies (non-exclusive):

- Terminate license immediately

- Re-enter and secure premises

- Pursue all unpaid amounts plus interest and fees

- Dispose of abandoned property

- Pursue any other legal or equitable remedies

All remedies are cumulative.


20. GENERAL PROVISIONS


Entire Agreement: This agreement and Incubator Space Rental Platform details constitute the entire agreement. No verbal agreements or prior representations are binding.

Amendments: Must be in writing and signed by both parties.

Severability: Invalid provisions don't affect remaining terms.

Governing Law: Nevada law governs. Venue in Clark County, Nevada.

Joint Liability: If multiple tenants, all are jointly and severally liable.

Waiver: Landlord's failure to enforce any term doesn't waive future enforcement rights.

Time is of the Essence: All deadlines are strict.

Notice: All notices must be in writing to addresses on file in Cobot or hand-delivered.

No Waiver of Rights: This agreement doesn't waive any statutory rights or remedies available to Landlord under Nevada law.


ACCEPTANCE


By clicking "Accept Terms & Conditions" on the Incubator Space Rental Platform platform, Tenant acknowledges:

- Reading and understanding this entire agreement

- Having opportunity to seek legal counsel

- Agreeing to all terms and conditions

- Providing accurate information in the Incubator Space Rental Platform

- Understanding this creates a license, not a lease
